Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Aegis AI Code Editor software (the “Software”) provided by Aegis (“we,” “us,” or “our”). By downloading, installing, or using the Software, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
1. License grant
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and run the Software for your internal business or personal purposes, in object code form, on devices you control. Open-source components, if any, are governed by their respective licenses.
2. Accounts, entitlements, and credits
Certain features require an account, subscription, or credit balance as described at purchase. You are responsible for maintaining the confidentiality of credentials and for all activity under your account. Credits are a consumable in-app unit used to meter configured AI and automation features; they are not cash balances, may expire or change with plan updates where disclosed, and are non-redeemable except where law requires otherwise.
3. Acceptable use
You agree not to:
- Violate applicable law or third-party rights;
- Reverse engineer, decompile, or disassemble the Software except to the limited extent permitted by law;
- Circumvent technical protections, billing, or usage limits;
- Use the Software to build or operate unlawful surveillance, malware, or harmful high-volume automation against third parties without authorization;
- Remove or alter proprietary notices or attribution.
4. Third-party services and your content
The Software may interoperate with third-party APIs, model providers, repositories, or payment processors. Your use of those services is governed by their terms. You retain rights to your content (for example, source code). You grant us only the rights necessary to provide the Software (for example, processing you initiate locally or through features you enable).
5. Updates
We may provide updates, patches, or new versions. Some updates may be required for security or continued functionality. If you disable updates, you assume additional risk. Release artifacts may be cryptographically signed; you should verify signatures when your security policy requires it.
6. Fees, taxes, and trials
Fees are as quoted at checkout. You authorize us and our payment processors to charge your payment method. Taxes may apply based on your location. Trials or promotional credits may expire as disclosed at signup.
7. Termination
You may stop using the Software at any time by uninstalling it. We may suspend or terminate access if you materially breach these Terms, create risk or possible legal exposure, or if we discontinue the Software with reasonable notice where practicable. Provisions that by their nature should survive (warranty disclaimers, limitations, indemnity) will survive termination.
8. Intellectual property
We and our licensors own all right, title, and interest in the Software, branding, and documentation, excluding your content. Feedback you provide may be used without obligation to you.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that outputs from AI features will be accurate, complete, or suitable for any purpose. You are solely responsible for reviewing and testing any code or suggestions before deployment.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY.
Our aggregate liability for claims arising out of or related to these Terms or the Software will not exceed the greater of (a) the amounts you paid us for the Software in the twelve (12) months before the claim or (b) one hundred U.S. dollars (US$100), except where prohibited by law.
11. Indemnity
You will defend, indemnify, and hold harmless Aegis and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your content, your use of the Software in violation of these Terms, or your violation of law or third-party rights.
12. Export and sanctions
You must comply with all applicable export control and sanctions laws. You may not use or export the Software into any jurisdiction or to any person prohibited by law.
13. Government users
If you are a U.S. government entity, the Software is “commercial computer software” and commercial computer software documentation under applicable FAR/DFARS provisions; use is subject to these Terms.
14. Governing law and venue
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. You and we consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware, except where prohibited by law or where small-claims court is an appropriate and elected forum.
Replace Delaware with your chosen jurisdiction and courts if your counsel directs a different venue.
15. Changes
We may modify these Terms from time to time. We will post the updated Terms with a new “Last updated” date. Material changes may require additional notice or consent where required by law. Continued use after the effective date constitutes acceptance of the revised Terms.
